Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the ADSG Health Check service ("Service") provided by Adaptive Solutions Group LLC (doing business as ADSG) ("ADSG," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Service Description

ADSG Health Check is a SaaS platform that analyzes NetSuite configuration metadata to provide:

  • Security vulnerability assessments
  • Performance optimization recommendations
  • Best practice compliance checks
  • Governance and customization analysis
  • Health scoring and prioritized action plans

Important Clarification:

The Service analyzes configuration metadata only. We do NOT access, store, or process customer data, transactions, financial records, or PII from your NetSuite instance.

3. Account Registration

3.1 Account Creation

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must be at least 18 years old to create an account
  • One account per organization (multiple users allowed per account)

3.2 NetSuite Integration

To use the Service, you must:

  • Have administrator access to a NetSuite instance
  • Deploy the ADSG Health Check RESTlet to your NetSuite account
  • Provide valid OAuth 2.0 credentials
  • Grant the Service read-only access to configuration metadata

You are responsible for ensuring you have proper authorization to connect your NetSuite instance to the Service.

4. Subscription and Billing

4.1 Subscription Tiers

Monthly Billing:

  • Small Business: $299/month - Quarterly health checks
  • Professional: $699/month - Monthly health checks
  • Enterprise: $1,899/month - Weekly health checks

Annual Billing (Save 2 months):

  • Small Business: $2,990/year ($249/month effective rate)
  • Professional: $6,990/year ($582/month effective rate)
  • Enterprise: $18,990/year ($1,582/month effective rate)

All prices are in USD and subject to change with 30 days notice.

4.2 Billing

  • Monthly subscriptions are billed monthly in advance
  • Annual subscriptions are billed annually in advance
  • Payment processed via Stripe
  • Automatic renewal unless canceled

4.3 Refund Policy

Monthly Subscriptions:

No refunds. You may cancel anytime and service continues until the end of your current billing period.

Annual Subscriptions:

  • First 30 days, no health check run: Full refund
  • First 30 days, health check was run: Charge for 1 month at your plan's monthly rate, refund the remainder
  • After 30 days: Charge for months used (whole months only), refund remaining months

Example: Professional annual ($6,990), cancel at month 4 = $6,990 - ($699 × 4) = $4,194 refund

Ad-Hoc Audits:

No refunds for ad-hoc audit purchases unless the audit fails due to an error on our end.

4.4 Cancellation

  • You may cancel at any time from your account settings
  • Monthly: Service continues until end of current billing period
  • Annual: Refunds processed per the refund policy above
  • Canceled accounts and data deleted after 90 days

5. Acceptable Use

5.1 Permitted Use

You may use the Service to:

  • Analyze your own NetSuite instance
  • Generate health check reports for internal use
  • Share reports with your organization's stakeholders
  • Use recommendations to improve your NetSuite configuration

5.2 Prohibited Use

You may NOT:

  • ❌ Use the Service to access systems you do not own or have permission to access
  • ❌ Reverse engineer, decompile, or disassemble the Service
  • ❌ Resell or redistribute the Service without written permission
  • ❌ Use the Service for illegal or unauthorized purposes
  • ❌ Attempt to interfere with or disrupt the Service
  • ❌ Upload malware, viruses, or malicious code
  • ❌ Use automated tools to scrape or extract data from the Service

6. Data and Privacy

6.1 Data Ownership

  • You retain ownership of all data in your NetSuite instance
  • We only access configuration metadata (not business data)
  • Audit results and reports are your property
  • We may use aggregated, anonymized data for Service improvements

6.2 Data Retention

  • Audit Results: Automatically deleted after 1 year
  • Account Data: Retained while subscription is active
  • Deleted Accounts: All data deleted within 90 days
  • You may request data deletion at any time

6.3 Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property

  • The Service, including all software, code, and content, is owned by ADSG
  • You are granted a limited, non-exclusive license to use the Service
  • The ADSG name, logo, and trademarks are owned by ADSG
  • You may not use our trademarks without written permission

8. Warranties and Disclaimers

8.1 Service Availability

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime caused by third-party services

8.2 Disclaimer

IMPORTANT:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT RECOMMENDATIONS WILL SOLVE ALL ISSUES.

8.3 Recommendations

  • Our recommendations are based on best practices and AI analysis
  • You are responsible for evaluating and implementing recommendations
  • We are not liable for consequences of implementing recommendations
  • Always test changes in a sandbox environment first

9. Limitation of Liability

LIMITATION OF LIABILITY:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL ADSG'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ADSG from any claims, damages, losses, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Unauthorized access to systems you do not own

11. Termination

11.1 Termination by You

You may terminate your account at any time by canceling your subscription.

11.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms
  • Your payment fails
  • You engage in fraudulent activity
  • We are required to do so by law

11.3 Effect of Termination

  • Access to the Service terminates immediately
  • All data deleted within 90 days
  • You remain liable for any outstanding fees

12. Changes to Terms

  • We may update these Terms from time to time
  • Material changes will be communicated via email
  • Continued use after changes constitutes acceptance
  • If you do not agree to changes, you must cancel your account

13. Governing Law and Disputes

  • These Terms are governed by the laws of [Your State/Country]
  • Disputes will be resolved through binding arbitration
  • You waive the right to participate in class-action lawsuits
  • Small claims court claims are permitted

14. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and ADSG
  • Severability: If any provision is invalid, the remaining provisions remain in effect
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: We are not liable for delays caused by circumstances beyond our control
